Terms of Service

Standard software terms for the Kamela Cloud platform.

These Terms of Service govern access to and use of the Kamela Cloud lending-operations software platform, operated by Circle Core Technologies (Pty) Ltd. By registering for an account or using the platform, your organisation agrees to these terms.

1. Platform Operator & Software Scope

Kamela Cloud is proprietary cloud software provided as a service by Circle Core Technologies (Pty) Ltd, a company incorporated under the laws of the Republic of South Africa. Circle Core Technologies (Pty) Ltd grants your organisation a non-exclusive, non-transferable, revocable licence to access and use the software for its internal lending-operations purposes during the term of your active subscription.

2. Platform Role & Lender Autonomy

Kamela Cloud currently provides software services and does not receive or hold borrower repayment funds. Kamela Cloud is not currently presented as a bank or funds-holding payment provider. The subscribing customer organisation is the lender/credit provider in credit transactions it records through the software, subject to the actual contractual arrangement. The platform does not lend money, fund loan agreements, take deposits, hold customer money, or make credit granting decisions.

3. Organisation Regulatory Responsibilities

The customer organisation is responsible for its own legal, regulatory, and statutory compliance. This includes: (a) determining whether it is required to register with the National Credit Regulator (NCR) under the South African National Credit Act 34 of 2005 (NCA) or other applicable regulatory body, and maintaining applicable registrations; (b) conducting lawful affordability and creditworthiness assessments; (c) ensuring all interest rates, initiation fees, service fees, and credit charges comply with statutory caps; (d) providing compliant pre-agreement statements, quotations, and credit agreements; (e) ensuring its collection activities and arrears follow-ups are lawful; and (f) complying with applicable consumer protection and credit bureau reporting laws.

4. Account Administration & Authorised Users

Organisations are responsible for maintaining the confidentiality of user credentials, managing role capabilities, monitoring staff activity, and promptly suspending or removing departed employees. All actions performed under an organisation's authenticated workspace are attributed to that organisation.

5. Prohibited & Unacceptable Use

Organisations and users agree not to use the platform to: (a) conduct unlawful, unregistered, or predatory lending; (b) commit fraud, identity theft, or misrepresent credit terms; (c) process unauthorised bank debits or manipulate debtor records; (d) engage in harassing, abusive, or unlawful debt collection practices; (e) circumvent software security controls, access limits, or tenant isolation; or (f) process stolen payment credentials. Circle Core Technologies reserves the right to suspend or terminate accounts that engage in severe or unlawful abuse.

6. Customer Data & POPIA Protection

The organisation retains all ownership and rights in its business and customer data. For borrower and lending information processed by Kamela Cloud on the organisation's instructions, the organisation will generally determine the purpose of the lending-related processing and may act as the Responsible Party under the Protection of Personal Information Act 4 of 2013 (POPIA), with Circle Core Technologies (Pty) Ltd acting as an Operator. Circle Core Technologies (Pty) Ltd may independently determine purposes and act as a Responsible Party for its own administrative processing, including account administration, subscription billing, security, and platform audit logging.

7. Subscriptions, Fees & Billing

Subscription fees are charged for access to software capabilities according to the active plan in the authoritative catalogue. Billing is processed in South African Rand (ZAR) via approved payment providers (e.g. Paystack). Subscriptions renew automatically unless cancelled prior to renewal. Software fees do not constitute loan funding, capital investment, or banking fees.

8. Third-Party Integrations & Payment Services

Optional third-party services—including payment gateways, debit order facilities, communication providers (SMS/Email), and credit bureaux—are subject to the terms and availability of those respective providers. Kamela Cloud currently provides software services and does not receive or hold borrower repayment funds. Future payment or debit-order integrations may be subject to additional payment-system requirements depending on the final technical, contractual and settlement model. Collection instructions submitted through third parties do not constitute proof of payment until authoritative settlement is confirmed.

9. Service Availability & Maintenance

We strive to provide continuous platform availability, subject to routine maintenance, updates, and emergency security interventions. Automated daily backups of organisation records are maintained in accordance with our technical architecture. Organisations are encouraged to export essential business reports and customer summaries regularly.

10. Intellectual Property

All software, algorithms, interfaces, trademarks, and documentation comprising Kamela Cloud are the exclusive intellectual property of Circle Core Technologies (Pty) Ltd and its licensors. Organisations may not reverse engineer, decompile, or copy the software.

11. Limitation of Liability & Disclaimers

[SUBJECT TO ATTORNEY REVIEW] Kamela Cloud is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable South African law, Circle Core Technologies (Pty) Ltd disclaims all warranties not explicitly stated herein. Circle Core Technologies (Pty) Ltd shall not be liable for indirect, incidental, consequential, or punitive damages, loss of lending profits, borrower defaults, or regulatory fines incurred by the organisation. Total liability under any claim shall not exceed the subscription fees paid by the organisation in the three (3) months preceding the claim.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts in South Africa.

13. Updates & Contact

We may update these Terms from time to time to reflect regulatory changes or platform updates. Material revisions will be communicated through the platform or by email. Questions regarding these Terms may be directed to support@circlecore.co.za.
